These Terms and Conditions ("Terms") govern the access to and use of the software-as-a-service platform available at https://cluboard.online ("Platform"), operated under the trading name "Cluboard" by Arrow CRM Limited, a company registered in England and Wales ("Company," "we," "us," or "our"). Any individual or entity accessing or subscribing to the Platform shall be referred to herein as the "User," "you," or "your."
By creating an account, accessing, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. Should you disagree with any provision herein, you must refrain from using the Platform and close your account immediately.
The following definitions apply throughout these Terms unless the context requires otherwise:
2.1 To access the Platform, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By registering, you represent and warrant that you meet these requirements.
2.2 You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at team@cluboard.com if you suspect any unauthorised access to or use of your account.
2.4 You may not create more than one account per Organisation without our prior written consent. We reserve the right to suspend or terminate duplicate or fraudulent accounts.
3.1 Access to the Platform's full functionality requires a paid Subscription. Subscription plans, pricing, and billing intervals are set out on the Platform's pricing page and are subject to change with reasonable notice.
3.2 All Subscription payments are processed by Stripe. By subscribing, you authorise us (via Stripe) to charge your designated payment method on a recurring basis at the applicable interval (monthly or annually) until you cancel your Subscription.
3.3 All fees are stated inclusive or exclusive of applicable taxes as indicated at the point of purchase. Where VAT or other taxes apply, they will be added to the stated price.
3.4 Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You are responsible for cancelling your Subscription in advance if you do not wish to be charged for the next billing period.
3.5 We do not offer refunds except as required by applicable law or as expressly stated in these Terms. For the avoidance of doubt, partial-period refunds upon cancellation are not provided.
3.6 If a payment fails, we may suspend access to the Platform until payment is successfully processed. We reserve the right to terminate the account if payment remains outstanding after a reasonable period of notice.
4.1 Subject to payment of the applicable Subscription fee and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal purposes in connection with managing your Organisation's digital display content.
4.2 You may not: (a) copy, modify, distribute, sell, or lease any part of the Platform; (b) reverse engineer or attempt to extract the source code of the Platform; (c) use the Platform in any unlawful manner or for any unlawful purpose; (d) use the Platform to transmit spam, malware, or any harmful content; or (e) sublicense or resell access to the Platform without our express written consent.
4.3 We reserve the right to update, modify, or discontinue any feature of the Platform at any time without liability, provided that we will use reasonable endeavours to notify Users of material changes in advance.
5.1 You retain ownership of all Content you upload to the Platform. By uploading Content, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display such Content solely as necessary to provide the Platform's services to you.
5.2 You represent and warrant that: (a) you have the right to upload and use the Content; (b) the Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (c) the Content does not violate any applicable laws or regulations.
5.3 We do not routinely monitor Content uploaded to the Platform. However, we reserve the right to remove any Content that we reasonably believe violates these Terms, applicable law, or the rights of third parties, without prior notice to you.
5.4 You are solely responsible for ensuring that any sponsor logos, trademarks, or third-party materials used within the Platform have been properly licensed or authorised by the relevant rights holder.
6.1 The Platform includes optional features that allow Organisations to accept payments from sponsors via Stripe. Where an Organisation enables this feature, it does so as the merchant of record for those transactions, not the Company.
6.2 The Company is not a party to any sponsorship agreement between an Organisation and its sponsors. We accept no liability for disputes, refunds, or failed payments arising from sponsor transactions.
6.3 Organisations using sponsor payment features are responsible for ensuring compliance with all applicable consumer protection, payment services, and tax legislation.
7.1 All intellectual property rights in the Platform, including its design, software, features, branding, and documentation, are owned by or licensed to the Company. Nothing in these Terms transfers any such rights to you.
7.2 "Cluboard," "CluBoard," and associated logos and marks are trading names and/or trademarks of Arrow CRM Limited. You may not use these marks without our prior written consent.
8.1 Our collection and use of personal data in connection with the Platform is governed by our Privacy Policy, which forms part of these Terms and is incorporated herein by reference.
8.2 Where you use the Platform to process personal data of third parties (such as team members or sponsors), you acknowledge that you are the data controller in respect of such data and that you are responsible for ensuring your use of the Platform complies with applicable data protection legislation, including the UK GDPR and DPA 2018.
8.3 We act as a data processor in respect of any personal data you input relating to your Organisation members or sponsors. We process such data solely in accordance with your instructions as set out in these Terms and our Privacy Policy.
9.1 The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 We do not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.
9.3 To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising under or in connection with these Terms (whether in contract, tort, including negligence, or otherwise) shall not exceed the total Subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
9.4 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
9.5 We shall not be liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profits, revenue, data, goodwill, or opportunity, even if we have been advised of the possibility of such losses.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your Content; (c) your breach of these Terms; or (d) your infringement of any third-party rights.
11.1 These Terms commence on the date you create your account and continue until your Subscription is cancelled or your account is terminated.
11.2 You may cancel your Subscription at any time via the Platform's account settings or by contacting us at team@cluboard.com. Cancellation will take effect at the end of the then-current billing period.
11.3 We reserve the right to suspend or terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or use the Platform in a manner that could harm us or other users.
11.4 Upon termination for any reason, your licence to use the Platform will cease immediately. We will retain your data for the period set out in our Privacy Policy before deletion.
We reserve the right to amend these Terms at any time. Where changes are material, we will provide at least 30 days' notice by email or via a prominent notice on the Platform. Your continued use of the Platform following the effective date of any amended Terms constitutes your acceptance of those changes. If you do not accept the amended Terms, you must cease using the Platform and cancel your Subscription.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to your rights as a consumer under applicable local law.
14.1 Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in relation to your use of the Platform and supersede all prior agreements and understandings.
14.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
14.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor entity in connection with a merger, acquisition, or sale of assets.
